I offer a bespoke legal structures design service to the not-for-profit, charitable and social enterprise sectors in England, Scotland and Wales. This involves designing a unique, tailor-made legal vehicle for each client group and taking them through the process of getting this structure properly registered with the minimum of work and hassle. The service involves:

informing myself about the group’s specific requirements via one of my ‘constitutional templates’

drafting a governing document (in plain English) that combines the group’s requirements with the relevant bits of law

annotating this document fully so the group knows exactly what is in it, and why, and what the implications are

preparing all the forms and documents necessary for adopting the governing document and registering it with the necessary regulator(s) – typically Companies House, the Charity Commission or OSCR.

I communicate with the group all though the process, so they own the structure and understand just what they have established.

Where an existing organisation, charitable or not, wishes to incorporate, I can handle all the paperwork and guide them through the process of transferring assets and activities.

AMENDMENTS
If an existing organisation wishes to alter, update or improve its governing document, I can advise on the options and prepare all the documentation for passing the necessary resolutions and filing these with the appropriate regulators.

CONVERSIONS
If an existing organisation wishes to change its legal status from one thing to another, again I can advise on the options and prepare all the documentation for passing the necessary resolutions and filing these with the appropriate regulators.

CHARGES
Wherever possible I give a fixed, fully-inclusive quote so that the group knows exactly what they are committing themselves to. Sometimes I have to give an estimate which is ‘from/to’ but I always try to keep within this range, and it is rare that I end up invoicing for the maximum estimated.
